Music contracts

Imagine that, because you are a student of Music Contracts, a friend has asked you to advise a musician who has been offered a contract by an American company. What is your opinion of the contract? Should he sign it as it is or should he seek further clarification of points? What particular points do you find contentious? Why? What should the musician do about them?
